Terms of Service

These terms

These terms govern use of the Abel, Inc. website and software (the “Service”). By using the Service you agree to them. Where a practice has a signed agreement with us, that agreement controls if anything here conflicts with it.

The Service

Abel provides software that carries out back-office tasks a practice describes to it, in the practice's own systems. Which tasks Abel performs is determined by what the practice asks it to do and by the practice's agreement with us.

Accounts and credentials

Accounts are issued to staff authorized by the practice. You are responsible for keeping your credentials secure and for activity under your account. Tell us promptly if you believe an account has been used without authorization.

Where a practice gives Abel a login to one of its own systems, the practice confirms it is entitled to grant that access and that doing so is permitted by its agreement with the system's provider. Those credentials are stored encrypted and used only to carry out the tasks the practice has asked for.

Messages to practice staff

When a member of practice staff gives us a mobile number, or a practice provides one on their behalf, that number is used to send operational messages about work needing attention and to answer questions sent to us. These messages are transactional. We do not send marketing messages.

• Frequency varies with the practice's activity; there is no fixed number of messages per week.
• Reply STOP to any message to stop receiving them. Reply HELP for help.
• Message and data rates may apply.
• Mobile carriers are not liable for delayed or undelivered messages.
• Mobile numbers are not sold or rented, and are not shared with third parties for their own marketing. See our Privacy Policy.

Acceptable use

You agree not to use the Service to:

• break the law, or infringe anyone's rights;
• access information belonging to a practice you are not authorized to act for;
• interfere with the Service's operation, probe its security, or attempt to gain unauthorized access to it;
• resell or provide access to the Service to anyone outside the practice's authorized staff.

Practice data

Information a practice puts into the Service, and information we generate for that practice, belongs to the practice. We process it to provide the Service and as the practice's agreement with us permits. We do not sell it.

Availability

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may change, suspend, or discontinue features, and will give practices reasonable notice of material changes affecting them.

Disclaimers

The Service supports a practice's operations. It does not provide medical advice and is not a substitute for the professional judgment of clinicians or staff. Except as expressly stated in a signed agreement, the Service is provided “as is” without warranties of any kind, to the extent the law allows.

Limitation of liability

To the extent the law allows, Abel is not liable for indirect, incidental, or consequential damages, and our total liability arising out of the Service is limited to the fees paid for it in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.

Term and termination

These terms apply while you use the Service. We may suspend or terminate access for breach of these terms or where required by law. A practice's signed agreement governs termination of its subscription and what happens to its data afterwards.

Changes

We may update these terms and will revise the effective date above. Continued use after a change means you accept the updated terms.

Governing law

These terms are governed by the laws applicable at Abel, Inc.'s principal place of business, without regard to conflict-of-laws rules, unless a signed agreement specifies otherwise.
